DESCRIPTION: These volumes record copies of Articles of Incorporation filed with the Box Elder County Clerk by newly organized corporations. The record books were kept as the official copy which was available for public use. The actual articles of incorporation record the following: names of the incorporators and their places of residence, the length of the corporation's duration, the pursuit of business agreed upon, amount of stock each shareholder receives, description of stock classes, number and kind of corporate officers, and the number of directors necessary to transact corporate business.

Under current Utah law and the laws of the territorial legislature, individuals desiring to incorporate, were to file and record articles of incorporation with their respective county clerk. These agreements specified the nature and place of business, amount of stock to be issued, terms for officers, etc. The clerk in turn issued a certificate of incorporation and recorded the final articles of incorporation in these record books.

ARRANGEMENT: Volumes and entries are chronological by date recorded by the Box Elder County Clerk.

RESEARCH NOTE: Researchers should consult the index to find the correct page and book number where the desired articles of incorporation are recorded. Researchers should also be aware that contained on Volume A are mining claims which are probably related to the Willard Mining Company.

RELATED RECORDS: These record books are indexed by Series 14945, ARTICLES OF INCORPORATION CASE FILES AND RECORD BOOKS INDEX, 1870-1961. Series 17890, contains the INCORPORATION CASE FILES, 1875-1961. Current incorporations in Box Elder County are filed in Series 7184, CORPORATIONS FILES, 1860-present.

FINDING AIDS: Volumes B-F contain alphabetical indexes which have been included in the film. An alphabetical index for Volume A, Appendix A, is attached to the series inventory.

PROCESSING NOTE: Incorporation record books were first scheduled as permanent records in 1978. This series was archivally processed by Kenneth R. Williams in 1995. Parts of the series were microfilmed in 1966 with more filming completed in 1992. The original volumes were destroyed following filming as they lacked distinctive intrinsic value. Volume A, which was filmed in 1966 by the Genealogical Society, was located in September 1996 and the series was updated by David Clark.
