ARTICLES OF INCORPORATION RECORD BOOKS, 1871-1961

DESCRIPTION: These volumes record copies of Articles of Incorporation filed with the Millard County Clerk by newly organized corporations. The registers were kept as the official copy which was available for public use. The actual articles of incorporation record the following: names of the incorporators and their places of residence, the length of the corporation's duration, the pursuit of business agreed upon, amount of stock each shareholder receives, description of stock classes, number and kind of corporate officers, and the number of directors necessary to transact corporate business.

Under Utah law, individuals desiring to incorporate were to file and record articles of incorporation with their respective county clerk. These agreements specified the nature and place of business, amount of stock to be issued, terms for officers, etc. The clerk in turn issued a certificate of incorporation and recorded the final articles of incorporation in these record books. The series ended in 1961 when the Division of Corporations was created and the state assumed sole responsibility for registering incorporations.

ARRANGEMENT: Arrangement is roughly chronological; some volumes overlap in date.

RESEARCH NOTE: Researchers should be aware that the companies may have listings in all volumes. Researchers should consult all volumes to ensure finding all related information. There is no apparent reason why Volumes C and D dates overlap. Both volumes contain foreign and domestic Articles of Incorporation, by-laws and other related documents. Also, there is no reason why Volumes E and F contain only one Article of Incorporation since the two Articles of Incorporation are less than twenty pages in length.

FINDING AIDS: Volume B contains an alphabetical index located at the beginning of the book.

PROCESSING NOTE: Incorporation Records were first scheduled as permanent records in 1978. Permission to microfilm and destroy these records was granted by the State Archivist, Jeff Johnson, January 3, 1995. The entire series was archivally processed by David Clark in March 1996. Volume A was filmed by the Utah State Archives on July 7, 1966; the remaining volumes were filmed in February 2001 and the series updated by A. C. Cone.
