INCORPORATION CASE FILES, 1871–

DESCRIPTION: Incorporation case files contain the original articles of incorporation and any subsequent amendments to corporations. Some files also contain notices to pay licensing fees and taxes, oaths of office for corporate officers, annual reports, correspondence, dissolution certificates or other miscellaneous documents. Case files are created during the length of a corporation's existence to form a business into an association with the legal rights and liabilities of an individual.

Articles of incorporation constitute a contract between the state and corporation; between the corporation and stockholders; and between the stockholders and the state. The articles of incorporation record the following: names of the incorporators and their places of residence; the length of the corporation's existence; the nature of the business; amount of stock each shareholder receives; description of stock classes; number and kind of corporate officers; and the number of directors necessary to transact corporate business.

Prior to 1962, corporations were required by law to file articles of incorporation with the Secretary of State and the County Clerks. Effective January 1,1962, the law changed and the Secretary of State became the sole agency responsible for corporation records in the state (Laws of Utah, 1961, Chapter 28). In 1974, a notice was sent out to all corporations requesting their current status. Corporations that were no longer in existence were officially dissolved by the Secretary of State. In 1984, the Division of Corporations and Commercial Code was created to assume duties and responsibilities pertaining to corporations that were previously delegated to the Secretary of State (Laws of Utah, 1984, Chapter 66).

Series 325, INCORPORATION CORRESPONDENCE, 1909–1913 and Series 380, INCORPORATION CORRESPONDENCE, 1960–1971, contain correspondence for the same corporations. Series 376, INCORPORATION ANNUAL REPORTS, 1962–1966 and Series 22044, INCORPORATION ANNUAL REPORTS, 1928–1931, contains annual reports for the same corporations. Series 378, INCORPORATION INDEX REGISTERS, 1880–1919, contain a list of corporations filed with the state. Series 384, PRIVATE COMPANIES INCORPORATION RECORD BOOKS, 1884–1919; Series 385, RELIGIOUS ORGANIZATIONS INCORPORATION RECORD BOOKS, 1901–1918; Series 386, FOREIGN COMPANIES INCORPORATION RECORD BOOKS, 1905–1918; Series 387, ARTICLES OF INCORPORATION AMENDMENT RECORD BOOKS, 1896–1968; and Series 406, CORPORATION LICENSE REGISTERS, 1907–1920, all contain documents for the same corporations. Prior to 1962, County Clerks were also required to register corporations and the Archives has in its custody incorporation case files and articles of incorporation record books for most of the counties in the state.

FINDING AIDS: There is not a comprehensive index to this series but there are series that may be helpful in locating a case file number if the company name is known. The Division of Corporations and Commercial Code maintains an online index and the access instructions are contained in appendix A of this series inventory. The online index contains active or recently expired corporation records.

CUSTODY HISTORY: In December 1996, the Division of Corporations and Commercial Code transferred custody of Incorporation Case Files from approximately 1871–1974 to the Utah State Archives.

PROCESSING NOTE: Incorporation case files were first scheduled as permanent records in 1978. The series through 1974 was archivally processed by David Clark in 1999. Processing will be updated as additional records come into archival custody after 30 years.

GAPS IN THE SERIES: There are many gaps in the processed portion of the series due to corporations being merged, corporations being dissolved after 1974 and corporations still remaining active. Records for corporations dissolved after 1974 and for active corporations are in the custody of the Division of Corporations and Commercial Code.
