ARTICLES OF INCORPORATION AMENDMENT RECORD BOOKS, 1896-1919

DESCRIPTION: Under the law (LAWS OF UTAH, ch. 87 sec. 2273, 1896), corporations could amend their articles of incorporation by voting to do so at a shareholders meeting, filing the amendment with the same office where the initial articles of incorporation had been filed, and passing a certified copy to the Secretary of State.

These volumes are certified copies acknowledging the filing of amendments with the Secretary of State. The forms, signed and dated by the Secretary of State, declare that the Secretary has received a certificate from the county clerk of the appropriate county noting the amendment of the articles of incorporation. The particulars of the amendment, in full, are typed in.

ARRANGEMENT: Arrangement is chronological by filing date.

RELATED RECORDS: INCORPORATION INDEX REGISTERS, series 378, contain alphabetized listings noting the record book in which amendments are filed. The certified copies of the amendments filed with the Secretary of State are found in the INCORPORATION CASE FILES, series 5192; the county copies may be located among the records of the appropriate county. PRIVATE COMPANIES INCORPORATION RECORD BOOKS, series 384, are copies of the initial certificates of incorporation issued to businesses.

FINDING AIDS: With the exception of the final volume, these record books have alphabetical indices either as a separate volume or as part of the record book. Series 378, INCORPORATION INDEX REGISTERS, also record amendment filings in their alphabetical listings.
