Series 11622

DAVIS COUNTY (UTAH). COUNTY CLERK [258]

INCORPORATION OATHS OF OFFICE, 1880-1983.
2 microfilm reels

DESCRIPTION: These are oaths of office for officers of companies incorporated to do business in Davis County. While most county clerks in Utah filed the oaths of office with the incorporation case files, the Davis County Clerk filed the records separately. The oaths of office were signed by the corporation officers and they promised to abide by the laws of the land and the Articles of Incorporation of the company they represented. Case files, of which oaths of office are a part, are created during the length of a corporation's duration. The case file is generated when companies incorporate within Davis County and serve as evidence of "due incorporation of the corporation [UCA 16-2]." The oaths of office provide the name of the officer, title of the officer, corporation name, date the oath was signed, officer's signature, notary public's signature, date of filing and from 1935 to 1983, the oath of office number. The series ended in 1961 when the Division of Corporations was created, although some documents were added to the series up to 1983.

ARRANGEMENT: Chronological.

RESEARCH NOTE: Researchers should note that prior to 1935 and after 1963, an index for the oaths of office does not exist. It is unclear why the dates of the two reels overlap. Researchers should consult both reels to ensure finding all related information.

RELATED RECORDS: This series is indexed by series #17898, INCORPORATION OATHS OF OFFICE INDEX, 1935-1963. Series #11801, ARTICLES OF INCORPORATION RECORD BOOKS, 1882-1961 contain the Articles of Incorporation for the companies which the oaths of office pertain to. Current Incorporations in Davis County are filed with Series #7184, CORPORATION FILES, 1860-present.

PROCESSING NOTE: Incorporation records and indexes were first scheduled as permanent records in 1978. This series was microfilmed by the Utah State Archives in January 1994. The entire series was archivally processed by David Clark in September 1996.
